Terms of Service

1. Agreement to Terms
By accessing or using the OpsGrip platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Opsgrip LLC ("OpsGrip," "we," "us," or "our").
2. Description of Service
OpsGrip is an IT operations management platform that provides a unified command center for IT departments. The Service includes tools for knowledge base management, IT inventory tracking, task and project management, trip operations, on-call scheduling, network topology and IPAM, team management, site documentation, IT request forms, and AI-powered operational intelligence through OGI (OpsGrip Intelligence).
OGI is an AI operations partner deeply integrated throughout the platform. OGI provides conversational onboarding, guided mission-based training, a command bar with fuzzy search and AI question answering, executive report generation, KPI analysis, staffing recommendations, risk assessments, budget analysis, industry benchmarking, strategic planning assistance, pattern detection, team expertise tracking, and organizational knowledge management.
The platform includes interactive project management with Gantt timeline views, network topology mapping with drag-and-drop diagram building, IPAM subnet management with visual heatmaps, geographic site mapping, trip route visualization, real-time team presence indicators, and integration support for 48 third-party IT tools across 14 categories including ticketing, monitoring, remote support, directory services, HR lifecycle automation, backup monitoring, security, and more.

3. Account Registration and Security
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Organization Data Isolation
Each organization on OpsGrip operates in a completely isolated data environment. Your organization's data — including operational records, AI-generated knowledge, conversation history, detected patterns, team expertise profiles, and decision logs — is separated from all other organizations at the database level through row-level security policies. No data is shared between organizations. Your OGI instance has zero awareness that other organizations exist.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code, viruses, or harmful content
- Use the Service to store or transmit content that infringes on intellectual property rights
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools to scrape, crawl, or extract data from the Service
- Attempt to access data belonging to other organizations
6. Artificial Intelligence Terms
6.1 AI Transparency
OpsGrip uses artificial intelligence powered by Anthropic's Claude to provide OGI features throughout the platform. AI-powered capabilities include but are not limited to: conversational onboarding, guided mission briefings, command bar question answering and search, content generation (emails, KB articles, reports), executive report generation, KPI analysis, staffing recommendations, budget analysis, risk assessments, vendor analysis, industry benchmarking, strategic planning assistance, pattern detection and alerting, team expertise profiling, organizational knowledge extraction, new hire briefing generation, and departure knowledge capture.
6.2 OGI Memory and Learning
OGI maintains a persistent, organization-scoped memory system. This means:
- Conversation Memory: OGI stores conversations you and your team have with it. Conversations are summarized and indexed for future retrieval.
- Organizational Knowledge: OGI extracts factual knowledge from conversations, task completions, data changes, and other platform activity. This knowledge is stored as structured facts and used to provide more personalized responses over time.
- Pattern Detection: OGI analyzes your operational data on a regular schedule to identify trends, anomalies, and opportunities.
- Team Expertise Profiles: OGI automatically builds expertise profiles for team members based on their activity.
- Decision Log: OGI captures decisions expressed during conversations and stores them for future reference.
All memory data is isolated to your organization and governed by the data isolation principles described in Section 4. You can view, edit, export, and delete OGI's stored knowledge through the Memory Management interface in Settings.
6.3 AI-Generated Content Disclaimer
AI-generated content is provided as a tool to assist your team. It may contain inaccuracies, errors, or incomplete information. You are solely responsible for reviewing, verifying, and approving all AI-generated content before acting on it. OpsGrip is not liable for any decisions made based on AI-generated content, including but not limited to staffing recommendations, budget projections, risk assessments, vendor negotiation suggestions, and strategic planning advice.
6.4 No AI Training on Your Data
Your data is never used to train, fine-tune, or improve any AI models. Data sent to our AI provider (Anthropic) is processed in real time to generate responses and is not retained by the AI provider after processing. OGI's memory system stores knowledge within your OpsGrip account (on our infrastructure), not on the AI provider's systems.
6.5 AI Feature Controls
You can control AI features through the Settings page. OpsGrip provides granular controls to enable or disable specific AI capabilities: OGI Conversations, OGI Memory & Learning, OGI Content Generation, Leadership Intelligence AI, and OGI Proactive Alerts. A master toggle allows you to disable all AI features at once. When AI features are disabled, core platform functionality continues to work normally. Disabling AI does not delete any previously stored knowledge or conversation history.
6.6 AI Feature Availability
AI features depend on third-party AI providers and may be temporarily unavailable due to provider outages, rate limits, or maintenance. We do not guarantee uninterrupted availability of AI features. When AI is unavailable, the platform provides graceful fallbacks where possible.
6.7 Your Responsibility for AI Output
You acknowledge that AI-generated content requires human review and approval. You are responsible for ensuring that any AI-generated content used in your operations is accurate, appropriate, and compliant with your organization's policies.
7. Data Ownership and License
You retain all ownership rights to the data you input into OpsGrip. By using the Service, you grant OpsGrip a limited license to process your data solely for the purpose of providing the Service. This includes sending relevant data to AI providers for content generation, extracting and storing organizational knowledge from your interactions and data, analyzing your operational data to detect patterns and generate insights, building team expertise profiles from platform activity, and storing conversation history for continuity and retrieval. This license terminates when you delete your account or data. Upon account deletion, all data including OGI's stored knowledge, conversation history, detected patterns, and team profiles will be permanently removed.
8. Subscription and Payment
OpsGrip offers subscription plans as described on our pricing page. Plans include Free, Pro, Team, Business, and Enterprise tiers. Subscriptions are billed on a monthly or annual basis. Payment is processed securely by Stripe. You agree to pay all fees associated with your selected plan. We reserve the right to change pricing with 30 days notice. Existing subscribers on a founding rate plan will retain their rate as long as their subscription remains active. Refunds are handled on a case-by-case basis.
The Free plan provides limited access to the Knowledge Base module with article and AI generation caps. Paid plans unlock additional modules, team collaboration features, and AI capabilities as described on the pricing page. Plan-specific feature access is enforced at the application level. Downgrading to a lower plan restricts access to higher-tier features but does not delete any data.
9. Intellectual Property
The OpsGrip platform, including its design, code, features, OGI character, and branding, is the intellectual property of Opsgrip LLC. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.
10. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OPSGRIP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. OPSGRIP DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO EXECUTIVE REPORTS, STAFFING ANALYSES, BUDGET PROJECTIONS, RISK ASSESSMENTS, AND STRATEGIC RECOMMENDATIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSGRIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
11. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time for violation of these Terms. You may terminate your account at any time by contacting support@opsgrip.com. Upon termination, your right to use the Service ceases immediately and all data associated with your account will be scheduled for deletion.
12. Material Changes and Re-Acceptance
We may update these Terms from time to time. When we make material changes — particularly to AI features, data handling practices, or the scope of OGI's capabilities — we may require you to review and re-accept the updated Terms before continuing to use the Service. We will notify you of material changes by posting the updated Terms on this page, updating the effective date, and where appropriate, prompting re-acceptance within the application.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Nebraska, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Nebraska.
